Service
Welcome to Serendipity. These Terms of Service (“Terms”) govern your use of the Serendipity mobile application, website, and related services (together, the “Service”), operated by Serendipity, Inc. (“Serendipity,” “we,” “us,” or “our”). Please read them carefully. By joining Serendipity, you agree to them.
Acceptance of Terms
By using Serendipity, you agree to these Terms — that’s the deal.
By creating an account, accepting an invitation, booking an event, or otherwise using the Service, you agree to be bound by these Terms and by our Privacy Policy, which is incorporated here by reference.
If you do not agree to any part of these Terms, do not use the Service.
These Terms form a binding legal agreement between you and Serendipity.
Eligibility
You must be 18 or older, invited, and honest about who you are.
Age. You must be at least 18 years old to use the Service. By using Serendipity, you represent and warrant that you meet this requirement.
Invite-Only. Access to Serendipity is by invitation only. An invitation is a conditional offer of access — it does not create a right to continued membership, and we may revoke access at any time consistent with Section 15.
Account Accuracy. You agree to provide accurate, current, and complete information during onboarding and to keep your profile up to date. Impersonation, pseudonyms intended to mislead, or materially false profile information are grounds for immediate removal.
One Person, One Account. Each account is for a single individual. Accounts are not transferable. You are responsible for all activity under your account and for keeping your login credentials secure.
Jurisdiction. The Service is operated from the United States. If you access it from elsewhere, you are responsible for compliance with local law.
The Service
Serendipity curates mystery dinners with strangers. It is not a restaurant, a dating app, or a guarantor of how the night goes.
What Serendipity Is. Serendipity curates small-group dinners between matched strangers at selected third-party venues. We handle matching, reservations, and event logistics. The venue is disclosed only on the day of the event.
What Serendipity Is Not. Serendipity is not:
- a restaurant, food provider, caterer, bar, or event venue;
- a dating service, matchmaking service, or introductions service for romantic purposes;
- a guarantor of the quality of any dinner, venue, meal, or guest;
- an employer, agent, or partner of any restaurant, chef, or server.
No Guarantees. We curate experiences; we do not promise specific outcomes. We do not guarantee that you will enjoy the meal, connect with your table, or find the experience meaningful. The magic of the concept depends on people and chemistry we cannot control.
Modifications. We may change, suspend, or discontinue features of the Service at any time without liability.
Bookings, Payments, Subscriptions, Refunds, and No-Shows
Pay to reserve your seat. Show up. If you don’t, the seat is gone and so is the fee.
Fees. Access to events may require a paid subscription, a per-event fee, or both. Current pricing is displayed in the app before you commit. All fees are in U.S. dollars and exclusive of any applicable taxes unless stated otherwise.
Payment Processing. Payments are processed by third-party payment processors (e.g., Stripe). By providing payment details, you authorize us and our processors to charge the applicable amounts. You represent that you are authorized to use the payment method you provide.
Subscriptions. Subscription fees recur on the cadence disclosed at signup (e.g., monthly or annually) and will automatically renew unless you cancel before the renewal date via the app or by emailing us. Cancellation takes effect at the end of the current billing period; no partial-period refunds are issued.
Event Fees. A per-event fee reserves your seat at a specific dinner. The fee covers matching, curation, and reservation logistics — it does not cover the cost of food or drink at the venue unless expressly stated.
Restaurant Check. Unless stated otherwise, you are responsible for paying the restaurant directly for your food, beverages, gratuity, and any incidentals.
Cancellations by You.
- Cancel more than 48 hours before the event start time: full refund of the per-event fee, or credit toward a future event, at your election.
- Cancel between 48 and 24 hours before: 50% refund or full credit.
- Cancel less than 24 hours before: no refund and no credit. The seat is lost.
No-Shows. Failing to arrive at the event within 20 minutes of the stated start time is a no-show. No-shows forfeit the full fee and may result in suspension or removal of your account. Repeated no-shows are grounds for permanent removal. We reserve the right to charge a no-show fee, disclosed in advance, to deter last-minute absence.
Cancellations by Us. If we cancel an event (for reasons including insufficient matches, venue unavailability, or force majeure), you will receive a full refund or a credit at your election. This is our sole liability for event cancellation.
Chargebacks. Initiating a chargeback without first contacting us to resolve a billing dispute is grounds for immediate account termination.
Mystery Venue Disclosure
The venue is a secret until the day of. That’s the whole point.
Serendipity’s core experience is built around withheld venue disclosure. By booking an event, you acknowledge and accept that the specific restaurant, address, and related details will not be disclosed until the day of the event, at a time of our choosing.
We will disclose in advance: the city, the general neighborhood or area, the event date and time, and any dietary or accessibility filters you have selected.
You are responsible for informing us at onboarding of any allergy, dietary restriction, mobility need, or other constraint that could affect your ability to safely participate. We will use reasonable efforts to match you to suitable venues but cannot guarantee a match for every constraint.
Dissatisfaction with a venue’s cuisine, ambiance, or location — once disclosed — is not grounds for a refund under Section 4.
User Conduct & Community Standards
Be the kind of person you’d want across the table. Don’t be anyone else.
You agree to conduct yourself at all events and within the Service with courtesy, honesty, and respect for other guests, venue staff, and Serendipity team members.
The following are strictly prohibited and are grounds for immediate removal from an event and/or termination of your account, without refund:
- Harassment, threats, intimidation, or unwelcome sexual advances;
- Discrimination or hate speech based on race, ethnicity, national origin, religion, gender, gender identity, sexual orientation, disability, age, or any other protected class;
- Arriving intoxicated, or becoming so intoxicated at an event as to disrupt it or endanger yourself or others;
- Solicitation — commercial, professional, multi-level-marketing, romantic pressure after stated disinterest, or otherwise;
- Recording audio or video of other guests without their express consent;
- Sharing another guest’s identifying information outside the Service without consent;
- Violence, theft, property damage, or any unlawful conduct;
- Attempting to game, manipulate, or reverse-engineer the matching algorithm.
We reserve sole discretion to determine whether conduct violates these standards. Our decisions on removal and refund are final.
Serious misconduct may be reported to venue operators, platforms, or law enforcement as appropriate.
Interactions With Other Guests
You’re meeting real strangers in real life. We match. We don’t vet.
No Background Checks. Serendipity does not conduct criminal background checks, identity verification beyond standard account measures, employment verification, or reference checks on guests. Information in a guest’s profile is self-reported and is not verified by us.
Assumption of Risk. You understand that meeting strangers in person carries inherent risks, including risks of miscommunication, incompatibility, physical injury, illness, theft, emotional harm, or other harm. By participating in an event, you voluntarily assume these risks.
Your Safety, Your Judgment. You are responsible for your own safety at, during, and after events. Trust your instincts. Leave any situation that feels unsafe.
Disputes Between Guests. Any dispute, claim, or conflict between you and another guest is solely between you and that person. Serendipity is not a party to such disputes and has no obligation to mediate, investigate, or resolve them, though we may take action under Section 6 where community standards are implicated.
Release. To the fullest extent permitted by law, you release Serendipity from any claim arising out of or related to the conduct of any other guest, before, during, or after any event.
User Content & the Constellation Feature
Write what you want to remember. Don’t write what you wouldn’t say out loud.
Constellation. The Constellation feature lets you mark guests you’ve met and write private notes or reviews reflecting your experience. These notes are visible to you and, in limited form, may inform future matching.
User Content. “User Content” means any content you submit to the Service, including onboarding responses, profile content, Constellation notes, reviews, photos, and messages.
Privacy of Other Guests. Constellation notes and any other content about other guests must:
- reflect your own honest experience;
- not contain another guest’s full name, contact information, employer, home address, or other identifying details beyond what Serendipity itself surfaces;
- not be defamatory, harassing, retaliatory, or sexually explicit;
- not be shared, republished, or exported outside the Service.
Prohibited Content. You will not post content that is unlawful, infringing, obscene, deceptive, malicious, or that violates any person’s rights of privacy or publicity.
License to Serendipity. You grant Serendipity a non-exclusive, worldwide, royalty-free, sublicensable license to host, store, use, display, and create derivative works from your User Content solely to operate, improve, and promote the Service. You retain ownership of your User Content.
Enforcement. We may remove, edit, or restrict User Content at our discretion, and may suspend accounts that repeatedly violate this Section.
Data & the Matching Algorithm
Your questionnaire answers teach our algorithm who you are. We use them to seat you well.
Onboarding includes a questionnaire designed to surface preferences, sensibilities, and social dimensions that inform matching. Your responses are processed by a proprietary algorithm that groups guests into tables.
By completing the questionnaire and using the Service, you grant Serendipity a perpetual, worldwide, royalty-free license to use, store, analyze, and derive insights from your responses for the purposes of: (a) matching you to tables and events; (b) operating, maintaining, and improving the Service and the matching algorithm; and (c) producing aggregated or de-identified analytics.
Details about what data we collect, how we use it, how long we retain it, and your rights are set out in our Privacy Policy. In the event of a conflict between these Terms and the Privacy Policy on matters of personal data, the Privacy Policy controls.
You may request deletion of your account and associated personal data as described in the Privacy Policy. Aggregated or de-identified data derived from your responses may be retained.
Intellectual Property
We own our brand, our code, and our algorithm. You own your words.
Our IP. The Service — including the Serendipity name, logo, four-pointed star mark, design system, software, matching algorithm, event concepts, curation methodology, and all related content other than User Content — is owned by Serendipity or its licensors and is protected by U.S. and international intellectual property laws.
Limited License to You. Subject to these Terms, we grant you a personal, non-exclusive, non-transferable, revocable license to access and use the Service for your own non-commercial use.
Restrictions. You will not: copy, modify, distribute, sell, lease, reverse-engineer, or create derivative works of any part of the Service; remove proprietary notices; use the Service to build a competing product; or scrape or harvest data from the Service.
Feedback. If you send us suggestions or feedback, you grant us a perpetual, irrevocable, royalty-free license to use them without obligation to you.
Third-Party Venues
Restaurants are their own businesses. We book. We don’t run them.
All venues at which Serendipity events take place are independent third parties. They are not owned, operated, employed, or controlled by Serendipity.
Serendipity is not responsible for: the quality, preparation, or safety of food or beverages served; the conduct or competence of venue staff; the cleanliness, accessibility, or physical condition of the premises; pricing, gratuity policies, or billing by the venue; or any injury, illness, or loss arising out of your visit to a venue.
Any claim relating to food, service, or premises should be directed to the venue itself. We will, where reasonable, help put you in contact.
Your use of a venue may also be subject to that venue’s own rules and policies.
Disclaimers of Warranties
We do our best. We don’t make guarantees.
The Service is provided “as is” and “as available” without warranties of any kind, express or implied.
To the fullest extent permitted by law, Serendipity disclaims all warranties, including implied warranties of merchantability, fitness for a particular purpose, title, non-infringement, and any warranties arising out of course of dealing or usage of trade.
We do not warrant that the Service will be uninterrupted, error-free, or secure; that matches will meet your expectations; or that any event, guest, or venue will meet your expectations.
Some jurisdictions do not allow certain warranty disclaimers; in those jurisdictions, our disclaimers apply to the fullest extent permitted.
Limitation of Liability
If something goes wrong and we’re legally responsible, we cap our liability at what you paid us in the last year.
To the fullest extent permitted by law, Serendipity, its officers, directors, employees, and agents will not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for any loss of profits, revenue, data, goodwill, or other intangible losses, arising out of or relating to the Service or these Terms.
Our total aggregate liability for all claims arising out of or relating to the Service or these Terms will not exceed the greater of (a) the total fees you paid to Serendipity in the twelve (12) months preceding the event giving rise to the claim, or (b) one hundred U.S. dollars ($100).
These limitations apply regardless of the legal theory on which a claim is based and even if we have been advised of the possibility of such damages.
Some jurisdictions do not allow certain limitations of liability; in those jurisdictions, our liability is limited to the fullest extent permitted by law.
Indemnification
If your conduct gets us sued, you cover us.
You agree to indemnify, defend, and hold harmless Serendipity and its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorneys’ fees) arising out of or related to:
- your use of the Service;
- your User Content;
- your conduct at or around any event;
- your interactions with other guests or with venues;
- your breach of these Terms or violation of any law or third-party right.
We reserve the right, at our expense, to assume the exclusive defense and control of any matter otherwise subject to indemnification by you, in which case you will cooperate with us in asserting any available defenses.
Termination & Account Suspension
We can end an account for cause. You can leave any time.
By You. You may terminate your account at any time by following the in-app instructions or emailing hello@serendipity.day. Termination does not entitle you to a refund of subscription fees already paid.
By Us. We may suspend or terminate your account, withdraw your invitation, or remove you from an event, with or without notice, if we believe you have violated these Terms, created risk to other guests, or otherwise conducted yourself in a manner inconsistent with the community we curate.
Effect. On termination, your license to use the Service ends immediately. Sections that by their nature should survive termination (including Sections 8.5, 9, 10, 12, 13, 14, 16, and 18) will survive.
Dispute Resolution
Disputes are resolved individually, by binding arbitration, under Georgia law. Please read this — it affects your legal rights.
Informal Resolution First. Before filing any claim, you agree to attempt to resolve the dispute informally by contacting us at hello@serendipity.day and allowing thirty (30) days for good-faith negotiation.
Binding Arbitration. Any dispute, claim, or controversy arising out of or relating to these Terms or the Service that is not resolved informally will be resolved by final and binding arbitration administered by JAMS under its applicable rules, conducted in Atlanta, Georgia, or by video conference at the arbitrator’s discretion. Judgment on the award may be entered in any court of competent jurisdiction.
Class Action Waiver. You and Serendipity agree that each may bring claims against the other only in your or its individual capacity, and not as a plaintiff or class member in any purported class or representative proceeding. The arbitrator may not consolidate more than one person’s claims and may not preside over any form of representative or class proceeding.
Exceptions. Either party may bring an individual action in small-claims court, and either party may seek injunctive or equitable relief in a court of competent jurisdiction to protect intellectual property rights.
Governing Law. These Terms are governed by the laws of the State of Georgia, United States, without regard to its conflict-of-laws principles. Subject to the arbitration provisions above, the exclusive venue for any action permitted in court is the state and federal courts located in Fulton County, Georgia.
Opt-Out. You may opt out of this arbitration agreement by emailing hello@serendipity.day within thirty (30) days of first accepting these Terms, with the subject line “Arbitration Opt-Out” and including your full name and account email.
Changes to Terms
We may update these Terms. We’ll tell you when we do.
We may modify these Terms from time to time. If we make material changes, we will notify you by email, in-app notice, or other reasonable means before the changes take effect.
Your continued use of the Service after the effective date of revised Terms constitutes acceptance. If you do not agree to the revised Terms, you must stop using the Service and may terminate your account under Section 15.
The “Last Updated” date at the top of this document reflects the most recent revision.
